JSW Group Eyes Majority Stake in Proposed Skoda Auto Volkswagen India Joint Venture

The proposed partnership could accelerate Volkswagen Group’s electric vehicle plans, deepen localisation and establish India as a larger manufacturing and export hub.


JSW Group is reportedly in advanced discussions with Skoda Auto Volkswagen India Private Limited to form a new automotive manufacturing joint venture, with the Indian conglomerate likely to hold a majority stake.


The two companies could sign a non-binding memorandum of understanding within the next two months. The proposed shareholding structure under discussion is understood to be 51:49 in favour of JSW Group, although the final equity arrangement will be decided only after further negotiations and regulatory approvals. Neither company has officially confirmed the proposed transaction so far.


If concluded, the partnership could become one of the most significant developments in Volkswagen Group’s India operations, supporting fresh investments in electric vehicles, product localisation, manufacturing and exports.


Proposed Joint Venture Could Fund Volkswagen Group’s India EV Plans

A major objective of the proposed alliance would be to fund the development and localisation of electric vehicles specifically designed for the Indian market.


A significant portion of the investment is expected to support vehicles based on Volkswagen Group’s upcoming India Main Platform, or IMP. The architecture is reportedly derived from the China Main Platform but will be adapted to meet Indian regulations, cost requirements and supplier capabilities.

The platform could underpin multiple electric SUVs from the Skoda and Volkswagen brands over the coming years. Local sourcing of batteries, power electronics, components and vehicle systems will be crucial to achieving competitive pricing in India’s increasingly crowded electric vehicle market.


Greater localisation could also reduce Skoda Auto Volkswagen India’s dependence on imported components, protect the company from currency fluctuations and improve the commercial viability of its future EV portfolio.


Discussions May Extend Beyond Vehicle Manufacturing

The proposed relationship may not be limited to manufacturing alone. Sales and marketing operations across Volkswagen Group’s Indian brands are also reportedly part of the discussions.


Skoda Auto Volkswagen India currently brings together the Indian operations of Skoda, Volkswagen, Audi, Porsche and Lamborghini under a unified corporate structure. Consequently, the scope of the proposed alliance could potentially include selected activities relating to the group’s premium and luxury brands as well.


However, the final operational structure and the exact brands covered by the arrangement will only become clear after definitive agreements are signed.


Local Assembly of Kodiaq and Audi Models Under Evaluation

The two companies are also believed to be studying ways to utilise JSW Group’s existing manufacturing infrastructure.


One of the facilities being evaluated is JSW Motors’ plant at Sambhaji Nagar in Maharashtra, formerly known as Aurangabad. The facility could potentially support higher localisation or assembly of models such as the Skoda Kodiaq and selected Audi vehicles.

Localising more components for premium vehicles could help Skoda Auto Volkswagen India improve capacity utilisation and reduce production costs.


The partners are also reportedly studying localisation of the next-generation Kodiaq platform. Apart from supporting the Kodiaq, the architecture could potentially be used for another locally manufactured three-row SUV positioned against models such as the Mahindra XUV 7XO.


A heavily localised premium three-row SUV would allow the Volkswagen Group to compete more effectively in one of India’s most important SUV segments, where price, equipment and after-sales costs play a major role in purchase decisions.


JSW Group Continues to Expand Automotive Presence

The proposed Skoda-Volkswagen partnership would further expand JSW Group’s rapidly growing automotive footprint.


JSW already operates JSW MG Motor India, its joint venture with SAIC Motor. The company is also building JSW Motors as an independent passenger vehicle business while expanding into electric buses, commercial vehicles, battery manufacturing and supporting technologies.


JSW MG Motor India itself is officially described as a joint venture between JSW Group and SAIC Motor, focused on connected and sustainable mobility products for the Indian market.


A separate association with Skoda Auto Volkswagen would allow JSW to diversify its automotive business beyond its China-linked partnership with SAIC.


The conglomerate could also use its existing strengths in steel, energy, paints, manufacturing and logistics to create a more vertically integrated automotive ecosystem. This could potentially lower costs while providing the European automaker with access to JSW’s industrial and financial resources.


India Could Become a Larger Volkswagen Group Export Hub

Exports are expected to form another important pillar of the proposed partnership.

Skoda Auto Volkswagen India already exports locally manufactured vehicles and components to several international markets. With additional investment and higher localisation, India could become a larger production base for Volkswagen Group vehicles intended for emerging markets and possibly Europe. The Volkswagen Group’s global manufacturing and distribution network would provide the proposed joint venture with access to a wide range of export markets.


The evolving India-European Union trade relationship could further strengthen the business case for exporting vehicles and components from India over the longer term, provided tariff and regulatory conditions become favourable.


For JSW Group, an export-focused automotive partnership would align with its broader strategy of establishing India as a manufacturing base for globally competitive vehicles.


Why the Proposed Partnership Matters

Skoda and Volkswagen have created a strong local foundation through their India 2.0 programme, which resulted in products such as the Skoda Kushaq, Skoda Slavia, Volkswagen Taigun and Volkswagen Virtus.


However, the transition towards electric mobility will require another substantial investment cycle. Developing dedicated EV platforms, expanding supplier localisation and upgrading production facilities will involve considerable capital.


A partnership with JSW could provide the Volkswagen Group with additional funding and stronger local manufacturing support. In return, JSW would gain access to European vehicle platforms, engineering expertise, global brands and international distribution networks.


The combination could help both companies develop competitively priced electric and internal-combustion vehicles while improving their position in India’s passenger vehicle market.


What Happens Next?

The immediate next step is expected to be the signing of a non-binding MoU, reportedly within the next two months.


Following the MoU, both companies would need to finalise the equity structure, investment commitments, management control, manufacturing responsibilities and product roadmap. Definitive agreements would then be subject to due diligence and regulatory approvals.


Senior global executives from Skoda and Volkswagen are also expected to visit India during the second half of August, with the proposed alliance likely to be one of the major subjects under discussion.


Until a formal announcement is issued, the proposed 51:49 ownership structure and the wider operational plans should be regarded as under discussion rather than finalised.
