Mahindra Sets Up Novavayu Aerospace for Aircraft Manufacturing, Deepens Push Into Defence Aviation

Mahindra Group has incorporated a new company, Novavayu Aerospace Limited, marking another significant expansion of its aerospace and defence manufacturing ambitions in India. The newly formed entity will focus on manufacturing aircraft, aerospace products and related activities, with the defence sector expected to be its primary area of operation.


Mahindra Group, one of India’s largest industrial conglomerates and a dominant player in SUVs and tractors, is strengthening its presence far beyond road mobility. The Group has incorporated Novavayu Aerospace Limited (NAL)as a new step-down subsidiary, opening the door for a potentially much larger role in aircraft manufacturing.


Novavayu Aerospace was incorporated on July 30, 2026 and has been established as a wholly owned subsidiary of Mahindra Defence Systems Limited (MDSL). MDSL itself is wholly owned by Mahindra Advanced Technologies Limited, which is ultimately owned by Mahindra & Mahindra Limited. As a result, Novavayu Aerospace becomes a step-down subsidiary of Mahindra & Mahindra.


The new company has been set up specifically to manufacture aircraft, aerospace products and undertake associated activities. According to the disclosure, the business is expected to primarily cater to the defence sector.

Novavayu Aerospace has an authorised share capital of ₹1 crore and will be headquartered in Mumbai.

Mahindra Is Not New to Aerospace

While the incorporation of Novavayu Aerospace may appear to mark Mahindra’s entry into aircraft manufacturing, the Group has actually been associated with aviation for several years.


Mahindra Aerospace previously developed and marketed utility aircraft including the Airvan 8 and Airvan 10. The Airvan 8 is an eight-seat piston-powered utility aircraft, while the Airvan 10 was developed as a larger 10-seat turboprop.


Mahindra had also explored regional aviation opportunities through alliances with international aircraft companies. Its aerospace business therefore already possesses experience spanning aircraft development, certification, utility aviation and aerostructure manufacturing.


However, Mahindra’s aerospace strategy in India in recent years has increasingly focused on becoming a major global aerostructures supplier.

That is where Mahindra Aerostructures Private Limited (MASPL) has emerged as an important part of the Group.


Mahindra Already Supplies Airbus, Boeing and Other Global Aircraft Manufacturers

Mahindra Aerostructures operates an aerospace manufacturing facility near Bengaluru and manufactures metallic parts, assemblies and complex structures for global aerospace manufacturers.


The company already works with major international aviation companies including Airbus.


In January 2024, Mahindra Aerostructures secured a contract from Airbus Aerostructures GmbH covering nearly 5,000 varieties of metallic components across Airbus commercial aircraft programmes, including the A320 family.

This was followed by another major agreement with Airbus Atlantic in April 2024. The multi-year contract, valued at around $100 million, involves the manufacture and delivery of roughly 2,300 varieties of metallic components and small assemblies for Airbus commercial aircraft.


Mahindra has also supplied components for Boeing programmes. The company previously secured a contract to manufacture components and sub-assemblies for the Boeing 737 inlet outer barrel at its Bengaluru-area manufacturing facility.


Mahindra Moving From Components to Complete Aircraft Structures

One of the most important developments in Mahindra’s aerospace journey has been its move from smaller components toward increasingly complex aircraft structures.

In April 2025, Mahindra Aerostructures was selected by Airbus Helicopters to manufacture and assemble the main fuselage of the Airbus H130 helicopter in India.

Deliveries of the H130 fuselage to Airbus' European facility are scheduled to begin from March 2027.


Mahindra followed this up with another major Airbus Helicopters contract in August 2025 for manufacturing the main fuselage of the Airbus H125 helicopter.

Production industrialisation is underway, with the first H125 fuselage delivery targeted for 2027.


These projects represent an important progression for Mahindra.

Instead of merely supplying individual aerospace components, the company is increasingly taking responsibility for larger, highly complex aircraft assemblies.


$300 Million Aernnova Contract Further Strengthened Aerospace Business

Mahindra's aerospace order book has also expanded substantially through partnerships with Tier-1 aerospace suppliers.


In June 2025, Mahindra Aerostructures and Spain-based Aernnova announced a multi-year contract worth approximately $300 million.


Under the agreement, Mahindra is manufacturing metallic sub-assemblies and components for several Airbus aircraft programmes as well as Embraer platforms, including the Embraer C-390 Millennium military transport aircraft.


This is particularly relevant when viewed alongside the creation of Novavayu Aerospace because it highlights Mahindra's growing exposure to both civil and military aviation programmes.


Novavayu Could Signal Mahindra's Next Aerospace Phase

The incorporation of Novavayu Aerospace appears to fit into a broader strategy of moving higher up the aerospace value chain.


Mahindra's existing aerospace manufacturing business largely operates as a supplier to global aircraft manufacturers. Novavayu Aerospace, on the other hand, has explicitly been incorporated for aircraft and aerospace product manufacturing, with the defence sector as a primary focus.


That distinction could prove important.

Mahindra has not yet announced which aircraft Novavayu Aerospace intends to manufacture or whether the company will develop an aircraft independently, manufacture an existing foreign platform under licence, participate in joint ventures or act as an integration and manufacturing partner.


Therefore, it would be premature to conclude that Mahindra is developing an entirely new aircraft.


However, creating a dedicated corporate entity for aircraft manufacturing gives Mahindra significantly greater flexibility to pursue future aviation programmes.

Possible opportunities could include military transport aircraft, surveillance aircraft, utility aircraft, helicopters, unmanned aviation platforms or licensed manufacturing programmes.

For now, these remain possibilities rather than confirmed programmes.


Defence Aviation Could Be a Major Opportunity

India's defence aerospace industry is undergoing a significant transformation as the government pushes for increased localisation and domestic manufacturing.

Large programmes involving fighter aircraft, helicopters, transport aircraft, unmanned systems and surveillance platforms are progressively creating opportunities for private-sector manufacturers.


Historically, Hindustan Aeronautics Limited has dominated Indian aircraft manufacturing, but private-sector participation has expanded considerably.

Mahindra already operates defence businesses covering land systems, armoured vehicles and aerospace-related manufacturing, giving the Group an existing industrial and defence ecosystem that could support Novavayu Aerospace.


The fact that Novavayu sits under Mahindra Defence Systems rather than Mahindra's civilian aerospace structure also reinforces the company's likely defence-oriented positioning.


Mahindra Has Ambitious Aerostructures Growth Targets

Mahindra's ambitions in aerospace are already substantial.

According to Mahindra & Mahindra's FY2025-26 annual report, Mahindra


Aerostructures is targeting approximately 12x revenue growth during the current decade and aims to become one of the world's top 10 aerostructures suppliers.

The company is expanding capabilities in machining, complex assemblies and industrialisation while targeting larger and higher-value work packages.

Novavayu Aerospace could potentially complement this strategy.


Mahindra Aerostructures could continue operating as a major global aerospace supplier, while Novavayu could focus on complete aircraft, defence programmes or aircraft-level integration.


Such a structure would broadly mirror the evolution seen among several international aerospace groups, where component manufacturing, aerostructures and aircraft programmes operate through specialised entities.


From SUVs and Tractors to Aircraft?

For most Indian consumers, the Mahindra name remains synonymous with vehicles such as the Scorpio, Thar and XUV700, as well as the Group's massive tractor business.

But Mahindra has steadily built businesses in defence, aerospace, technology, logistics and advanced manufacturing.


Novavayu Aerospace therefore shouldn't be viewed simply as an unrelated diversification exercise.

Instead, it represents another step in Mahindra's longer-term attempt to establish itself as an advanced engineering and mobility company operating across land and air.

The timing is also interesting.


India is emerging as an increasingly important aerospace manufacturing destination as Airbus, Boeing and their global suppliers expand sourcing from the country. Mahindra already has relationships and manufacturing experience across several of these programmes.


Creating a dedicated aircraft manufacturing company could allow the Group to leverage that accumulated capability in much larger programmes.


What Happens Next?

The incorporation of Novavayu Aerospace is only the beginning.


Several critical details are yet to be announced, including:

  • The first aircraft or aerospace programme to be undertaken by Novavayu

  • Whether Mahindra will develop its own platform or partner with an international aircraft manufacturer

  • Manufacturing location and production capacity

  • Planned investment

  • Target customers

  • Civil versus military aircraft mix

  • Potential involvement in upcoming Indian defence procurement programmes

Any announcement involving an aircraft development programme, foreign OEM partnership or manufacturing facility would significantly clarify Mahindra's plans.


Auto Punditz Take

The creation of Novavayu Aerospace Limited may eventually prove to be much more significant than the incorporation of another Mahindra subsidiary.

Mahindra already possesses a growing aerospace manufacturing base, partnerships with some of the world's largest aircraft manufacturers and experience producing increasingly complex aerostructures.


The next logical step up the aerospace value chain is aircraft-level manufacturing and integration.

Novavayu gives Mahindra a dedicated corporate vehicle through which such ambitions can potentially be pursued.


For the moment, Mahindra has only confirmed that the company will manufacture aircraft and aerospace products with a primary focus on defence. There is no confirmed aircraft programme yet.


But considering Mahindra's rapid expansion in aerostructures and its growing Airbus and global aerospace relationships, Novavayu Aerospace is certainly a company worth watching closely.
